POWDR is headquartered in Park City, Utah.For more information, please visit: www.POWDR.com.Job Summary:The Corporate Counsel will work from POWDR's headquarters in Park City, Utah. The Corporate Counsel's responsibilities will include providing legal advice and assistance on a variety of commercial matters, primarily relating to contract review for our operational units, but also assisting on corporate transactions. The successful applicant will work closely with POWDR's business units to negotiate and draft contracts and advise with respect to all aspects of corporate transactions and commercial resort operations. The successful applicant will be an active member of the Utah bar or will be admitted to practice in Utah, will have at least five years of corporate experience and strong interpersonal and communication skills.Essential Duties and Responsibilities:

  • Provide thoughtful, timely, and well-supported advice to all properties in the POWDR platform
  • Review, draft, and negotiate a heavy volume and wide variety of contracts, including IT/SaSS/technology agreements, partnership, food and beverage, lodging, event, marketing, supply, and equipment agreements
  • Advise on compliance and risk issues related to technology and content development and promotion, particularly on social media and digital platforms
  • Conduct efficient and high-quality research on a wide variety of issues, particularly emerging areas of law affecting POWDR's operations
  • Assist with transactional work, including the drafting of NDA's, LOI's and definitive agreements, as well as assist with all aspects of transactional due diligence
  • In conjunction with POWDR's paralegal, maintain and ensure compliance with internal docketing systems
  • Ensure efficient and reasonably short contract review timelines
  • Other duties as assignedRequirements:Required Knowledge, Skills, and Experience:
    • JD Degree with membership in good standing in a state bar
    • Experience in a national law firm and in-house general corporate experience, including M&A
    • Knowledge of laws and regulations relating to corporate governance in Delaware
    • Working knowledge of federal employment regulations and knowledge of California employment regulations preferred
    • Knowledge of laws and regulations pertinent to POWDR's business
    • Must be able to efficiently handle multiple priorities and deadlines
    • Strong oral and written communication skills with the ability to communicate effectively and with a high level of business acumen
    • Ability to operate independently in a highly entrepreneurial environment
    • Superior organizational skills
    • Sharp attention to detail; demonstrated thoroughness and excellence in all aspects of work
    • Ability to prioritize and consistently meet deadlines
    • Excellent analytical and interpretive skills with the ability to summarize and draw conclusions
